Zoom Client License Agreement

Zoom provides web and video conferencing services that GSUSA has outsourced to your board. You agree to use the GSUSA ZOOM LICENSE in accordance with the terms of the agreements. 18.7. Claims, questions or disagreements between the licensee and Zoom, his related companies or their respective executives, directors, employees, agents, subcontractors or resellers resulting from or in connection with this agreement are only tried in the Superior Court of California, San Mateo County for federal court cases or the United States District Court of the Northern District of California. Each party undertakes to submit to the exclusive jurisdiction of such courts with respect to litigation and undertakes not to raise disputes before another court or other adjudication body. Each party hereshes with jurisdiction and personal jurisdiction over such disputes and irrevocably waives any right it must assert that such a forum is not convenient or that such a tribunal is not competent. 6.1. Zoom may, at its sole discretion, perform a security check of the licensee`s zoom applications at its own cost at any time, at its own cost, to ensure that the Zoom application complies with this agreement, the terms of use of the App Marketplace or any other agreement between Zoom and the licensee, and that the Zoom application does not compromise the safety, integrity or performance of zoom services or components (a “safety check”). Zoom will provide the licensee with an appropriate written notification of each security clearance. The licensee provides Zoom with unlimited free access to the Zoom app and reasonably collaborates with Zoom in the security investigation. Zoom may conduct the security investigation itself or through third parties on behalf of Zoom (and these third parties treat all information obtained as part of the security investigation as confidential information under this agreement). 5.1. Zoom conceded to SDK zoom according to the license document assigned to each SDK.

You acknowledge that third-party vendors are ultimately responsible for system availability and correction of errors, errors or problems related to Zoom`s operation, and that GSUSA cannot engage or be held accountable for system availability and cannot guarantee that Zoom is error-free or that problems can be resolved.
